These General Business Conditions apply to all contracts and business relationships between ComponentSoft Kft. ("ComponentSoft," "we," "us," or "our") and our customers regarding:

• Training and educational services
• IT consulting and professional services
• Technical support and advisory services
• Any other services offered by ComponentSoft

3. Service Registration and Booking

3.1 Training Services

• Training registration requires completion of our enrollment process
• Places are allocated on a first-come, first-served basis
• We reserve the right to cancel or reschedule courses due to insufficient enrollment
• Minimum participant requirements apply to group training sessions
• Course materials and prerequisites will be communicated upon registration

3.2 Consulting Services

• Consulting engagements require a signed statement of work (SOW)
• Project scope, deliverables, and timelines are defined in the SOW
• Changes to scope require written agreement from both parties
• Resource availability is subject to our current project commitments

4. Pricing and Payment Terms

4.1 Pricing

• All prices are quoted in Hungarian Forints (HUF) or Euros (EUR) as specified
• Prices include 27% Hungarian VAT for EU customers
• Custom quotes are valid for 30 days from issuance
• Group discounts may be available for multiple participants

4.2 Payment Terms

• Training: Full payment required before course commencement
• Consulting: Payment terms as specified in the SOW (typically 30 days net)
• Late payment fees may apply after 30 days overdue
• Accepted payment methods: Bank transfer, company check, corporate credit card
• Payment receipts and invoices will be provided electronically

5. Cancellation and Refund Policy

5.1 Customer Cancellations

• Substitution of participants is allowed without charge
• Rescheduling to future dates may be possible subject to availability
• Refunds will be processed within 30 business days

5.2 ComponentSoft Cancellations

• We reserve the right to cancel courses due to insufficient enrollment
• Minimum 5 business days notice will be provided
• Full refund or rescheduling options will be offered
• We are not liable for travel or accommodation costs

6. Intellectual Property

6.1 Training Materials

• All training materials remain the intellectual property of ComponentSoft
• Materials are licensed for personal use by registered participants only
• Reproduction, distribution, or commercial use is strictly prohibited
• Materials may not be shared with non-participants

6.2 Consulting Deliverables

• Custom deliverables become the property of the client upon full payment
• ComponentSoft retains the right to use general methodologies and approaches
• Confidential client information will not be disclosed to third parties
• ComponentSoft may reference successful projects for marketing purposes

7. Liability and Warranties

7.1 Service Warranty

• We provide services with professional care and industry best practices
• Training content is current and relevant to the specified technologies
• Our instructors are qualified professionals with relevant expertise
• We will make reasonable efforts to resolve any service quality issues

7.2 Limitation of Liability

• Our liability is limited to the total amount paid for the specific service
• We are not liable for indirect, consequential, or punitive damages
• Force majeure events (natural disasters, government actions) excuse performance
• Participants attend training at their own risk regarding technology compatibility

8. Confidentiality

• We maintain strict confidentiality regarding client information
• Non-disclosure agreements available for sensitive consulting projects
• Training participants should respect confidentiality of shared information
• We do not share participant information with third parties without consent

9. Data Protection

We process personal data in accordance with Hungarian and EU data protection laws, including GDPR. Please refer to our Privacy Statement for detailed information about:

• Data collection and processing purposes

• Data retention periods
• Your rights as a data subject
• Security measures and safeguards

10. Force Majeure

ComponentSoft shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including:

• Natural disasters, epidemics, or public health emergencies
• Government actions, regulations, or travel restrictions
• Internet outages, technical infrastructure failures
• Labor disputes or supply chain disruptions

In such cases, we will make reasonable efforts to reschedule or provide alternative delivery methods.

11. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved as follows:

• Initial attempt at amicable resolution through direct negotiation
• Mediation through the Budapest Chamber of Commerce if needed
• Final resolution through Hungarian courts with jurisdiction in Budapest
• Hungarian law governs all contractual relationships

12. Changes to Terms

ComponentSoft reserves the right to modify these General Business Conditions at any time. Changes will be communicated through our website and will apply to new contracts entered into after the effective date. Existing contracts remain governed by the terms in effect at the time of agreement.

13. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions will be replaced with valid ones that most closely achieve the intended economic effect.
